Polish company names end in abbreviations that carry real information: sp. z o.o., S.A., sp.k., sp.j., P.S.A. Each one tells you who is liable, how much capital stands behind the business, which register it sits in, and how you may contact it. This article explains the legal forms you will meet in Poland, with the number of active businesses in each form from the bazy.biz warehouse as of October 2026.

The total of 4.4 million is lower than the 5.5 million entries in the REGON register because suspended businesses and entities without an activity code are left out.

Two forms account for 95% of the market. If your product sells to Polish businesses in general, you are selling to sole traders. If it sells to companies with employees, budgets and procurement, you are mostly selling to limited liability companies.

Sole proprietorship (JDG)

A natural person running a business under their own name. Registration in CEIDG is free and takes a day. There is no minimum capital and the owner is liable with all personal assets. Many JDG are one person service businesses: construction finishing, transport, IT contracting, beauty, consulting. Some are larger, with employees and seven figure turnover, because there is no size limit on the form.

Three things matter for a foreign partner. First, the business name must contain the owner's first and last name, so "Jan Kowalski Instalacje" is a JDG and the person signing is the owner. Second, the owner's data, including the business e-mail and phone, are personal data under GDPR. Third, a JDG can be suspended for any period and reactivated later, so always check the status in CEIDG before you rely on it.

Limited liability company (sp. z o.o.)

The standard Polish company and the form that foreign investors use most often. It has legal personality, a minimum share capital of 5,000 PLN, and shareholders are not liable for its debts. It is registered in KRS, where you can read the board, the representation rule and the shareholders with at least 10% of shares, and download the annual financial statements free of charge.

Management board members can be held personally liable for the company's debts if they fail to file for bankruptcy in time, which is a strong incentive to keep the company solvent. Nearly 600,000 limited liability companies are active, and in the third quarter of 2026 they made up 18% of all new registrations, up from 14.5% a year earlier. The form is gaining share while sole proprietorships lose it.

Civil law partnership (s.c.)

A contract between two or more people (usually sole traders) rather than a legal entity. The partnership itself has a NIP and a REGON, but it is not registered in KRS. Each partner is registered in CEIDG and each is liable without limit for the partnership's obligations. In practice the s.c. is a small family or two partner business. When you contract with one, you contract with the partners jointly.

General and limited partnerships (sp.j., sp.k.)

Both are registered in KRS and both are used by professional firms and family businesses. In a spółka jawna all partners are liable without limit. In a spółka komandytowa at least one partner (komplementariusz) has unlimited liability and at least one (komandytariusz) is liable only up to a declared sum. A common structure is a limited partnership whose general partner is a limited liability company, which you will recognise from names such as "XYZ spółka z ograniczoną odpowiedzialnością sp.k.". There is also a rare hybrid, the limited joint stock partnership (S.K.A.).

Joint stock company (S.A.) and simple joint stock company (P.S.A.)

The spółka akcyjna requires 100,000 PLN of share capital, a supervisory board and an audited annual report. It is the form of listed companies, banks and insurers, and of about 7,600 active businesses in total. The prosta spółka akcyjna, introduced in 2021, needs only 1 PLN of capital and was designed for startups; it is still a small group in the register.

Foundations, associations and cooperatives

Around 34,000 foundations, associations and cooperatives are active with an activity code, and many more exist without one. They are registered in KRS and can run a business, employ staff and buy services. If you sell training, software or equipment to the non-profit sector, this group is addressable like any other, and the people signing are the board members listed in KRS.

Legal form is one of the standard filters in the bazy.biz company lists, next to industry (PKD or NACE code), region, start date and the contact fields you need. If you want, for example, limited liability companies in manufacturing founded after 2020 with an e-mail address, that is a list we can count and price before you order. Describe your target and we will reply with the numbers.

Counts are from the bazy.biz warehouse as of October 2026. Legal descriptions are a general overview as of that date and not legal advice.
